Commercial Law

In the area of commercial law, including financial or banking law, the Law Office provides comprehensive legal assistance to businesses in corporate matters (establishment, changes, liquidation of commercial entities) and securing international transactions of investments or divestments of local and foreign companies in Slovakia.
A distinct sub-category of legal consultancy is securities (issuance of company and convertible bonds), bills of exchange, checks, letters of credit, bank guarantees and other forms of warranties and guarantees, utilized first and foremost in the financial institution environment and for various forms of company financing.
Pursuant to the specific requirements of the client, the Law Office provides consultancy in the current field of environmental law, as well as in other fields and sub-fields, such as intellectual property, copyrights, protection of economic competitions, etc.

Within the scope of its regular activities, the Law Office secures comprehensive legal due diligence in the interest of investors purchasing Slovak companies. The attorneys at BADUCCI Legal have carried out direct investments of foreign banks and foreign mutual funds into strategic companies in the Slovak Republic in the areas of food processing, electronic media, machining and air transportation. The office’s activities do not end with the concluding of a shareholder’s agreement or share purchase agreement by the client. The office further provides investors with comprehensive legal assistance with establishing a daily agenda, representation at general meetings, representation before the central depository for securing issuance of company and convertible bonds, and at the realization of bond exchange for shares through divestment of investors from Slovak companies.

Civil Law

In the area of civil law, the attorneys at the Law Office provide legal services mainly related to representing clients in proceedings before courts of law and state administrative authorities, and they carry out effective legal assistance in property matters related to conveyance of real property, they prepare agreements for construction preparation as well as agreements on the actual construction of buildings, pledge and other agreements securing the claims and investments of clients and agreements on establishment of material encumbrances. Such services for clients of the office are often provided as part of comprehensive services including the buy-out, integration, exchange and other activities aimed at creating the requested legal status required by the specific investment activities of the specific client.

Labour Law

The Law Office provides comprehensive services in the areas of concluding, amending or terminating labour relationships, creation of employment manuals and effective enforcement of internal standards of employers. In our contestable agenda, we provide effective representation in disputes on the invalidity of termination of employment agreements, liability for damages and claims for salary compensation.
